Terms of Service

The agreement

These terms are a contract between Stocked and the business that opens an account. By signing up, or by using Stocked on behalf of a business, you confirm you are authorised to accept these terms for that business.

Where we say "you", we mean that business. Where we say "the service", we mean the Stocked application, its APIs, and anything else we provide under these terms.

Your account

You are responsible for what happens under your account. That means keeping credentials secure, choosing sensible roles for the people you invite, and removing access promptly when someone leaves.

You must be old enough to enter a contract in your jurisdiction, and you must give us accurate details. If we cannot reach you at the address on the account, we may suspend it.

Acceptable use

You agree not to:

• Use the service for anything unlawful, or to store records of unlawful activity.
• Attempt to gain access to another customer's data, or to parts of the system you have not been granted.
• Probe, scan or load-test the service without written permission from us.
• Resell or white-label the service without a written agreement.
• Upload malware, or content that infringes someone else's rights.

We may suspend an account that breaches this section. Where the breach is not serious and can be fixed, we will tell you and give you a reasonable chance to fix it first.

Your data stays yours

You own the records you put into Stocked. We claim no rights over them beyond the licence we need to run the service for you — storing them, processing them, backing them up, and showing them back to the people you have given access.

You can export your data at any time while your account is open, and for 30 days after you close it. We handle it in line with our privacy policy.

Plans and billing

Stocked is priced per location. Paid plans are billed in advance, monthly or annually, and renew automatically until cancelled.

• Prices exclude tax unless stated. We apply the rate for your billing region.
• If you add locations mid-cycle, we charge a prorated amount for the remainder of that cycle.
• If you remove locations, the reduction applies from the next cycle. We do not refund partial periods.
• We may change prices with at least 30 days' notice. A change never affects a period you have already paid for.

If a payment fails we will retry it and let you know. If it is still outstanding after 14 days we may downgrade or suspend the account.

Cancellation

You can cancel at any time from your billing settings. Cancellation takes effect at the end of the current billing period, and you keep access until then.

We can terminate for a serious or repeated breach of these terms, or if we are legally required to. If we terminate without cause, we will refund any period you have paid for but not used.

Availability

We aim for 99.9% monthly uptime and publish our status openly. Planned maintenance is announced in advance and scheduled outside peak trading hours where we can.

The service is provided as-is beyond that commitment. We do not warrant that it will be uninterrupted or error-free, and we are not responsible for outages caused by your own network, your devices, or a third party we do not control.

Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

Subject to that, neither side is liable for indirect or consequential loss, and our total liability in any 12-month period is capped at the amount you paid us in that period.

Stocked is a record-keeping tool, not an accountant. You remain responsible for the accuracy of your own tax filings and statutory records.

Changes to these terms

We may update these terms as the product and the law change. For material changes we will give account owners at least 30 days' notice by email. Continuing to use the service after a change takes effect means you accept the revised terms.

Governing law

These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Lagos State have exclusive jurisdiction over any dispute. Nothing here removes a consumer protection right you hold in your own country of residence.
